INVESTMENT THESIS

We start with defining a “Triple Bottom Line” investment and we contrast that against a “Single Bottom Line” investment.  “Single Bottom Line” simply refers to the one bottom line we are all familiar with: profit.   Until recently, all for-profit companies have had a fiduciary duty towards constantly increasing that one bottom line.

 

Triple Bottom Line, on the other hand refers to a scenario where the for-profit company, and all its main stakeholders, are oriented towards increasing not just the one bottom line of profit, but also are oriented to creating value in two more bottom lines: value to people (i.e. society), and value to planet.

 

The 3 P’s (People, Planet, Profit) form the three components of the “Triple Bottom Line” (3BL).

 

However, until recently, securing Triple Bottom Line alignment between investors and founders in companies was problematic because, even though at the enthusiastic outset, all participants would commit to the Triple Bottom Line, when business conditions experienced lulls, invariably the two bottom lines of planet and people would be marginalized, in favor of profit only, by one or the other party, to the chagrin of the counterparty.

 

What was needed is a legal structure that legally enforces a fiduciary duty by all principal stakeholders to create value in all 3 components of the Triple Bottom Line.

 

Enter the “Public Benefit Corporation.”  Also known simply as “Benefit Corporations,” these are legal entites that have been formed in several American states through the passage of legislation.  Most often, they are types of C Corporations with extra Triple Bottom Line language.   Many states also recognize LLC versions of Benefit Corporations as well.

 

The result:  all stakeholders of a given entity can rest assured that their Triple Bottom Line goals will not be compromised!

 

Our Investment Thesis is that Odoomber Tree Capital invests in Real Estate that enhances all 3 components of the Triple Bottom Line.  Examples of 3BL Real Estate are:

 

  • Holistic retreat centers positively impacting the Human Potential movement

    • From a real estate perspective, these are actually hotels, lodges or B&B’s with a strong holistic program

  • Office buildings which are leading by example in Green efficiencies

  • Retail anchored by planet-friendly businesses such as organic food supermarkets, sustainability oriented stores, or yoga studios

 

Real Estate is tough right now.  If you’re focused only on the single bottom line, it’s going to be tough to derive satisfaction from your investments.  On the other hand, when you expand your mindset into Triple Bottom Line Real Estate, partnering with Odoomber Tree Capital will result in satisfaction in one of the other Bottom Lines (people and planet) whenever there is a lull in profit, which is bound to happen every once in  a while.   That being said, we constantly find very creative and innovative ways to optimize profitability as well.

WHO ARE WE?

We are a boutique multi-family office focused on building wealth by investing in and improving hotels. (We also have capabilities in Fintech and Cleantech and thus occasionally engage in a few Venture Capital opportunities in these domains as well, as explained in the "Non-Real Estate Venture Capital" section further down).

 

We also think of Odoomber Tree Capital as the “treasurer” of a private community.  This is an analogy where the word “treasury” is used in the sense of the accumulated wealth of our private community, and in our capacity as Treasurer, we are custodians of (part of) this wealth.  We are also in charge of growing this accumulated wealth through investment.  We emphasize that we are oriented to and have a fiduciary duty to our clientele of private community of families.

 

As a family office, we differ from traditional Wealth Management firms, Investment Advisors, and Private Equity firms by the community aspect of our clientele:  our common purpose and interests are expressed openly, our families together have a certain mandate, and our community members are encouraged to know each other as part of our community and interact with each other in intentional community.

 

In the future, we plan to expand from a boutique small-cap family office into a full-fledged multi family office offering all these services.

WHAT WE DO 

One way Odoomber Tree Capital expresses its mandate as Private Community Treasurer of our community of families is by operating as a strategic investment firm that acquires, improves, operates and sells hotels. 

 

For hotels and other commercial real estate, on a syndicated deal by deal basis, we structure capital in various forms of debt and cash to acquire the investment asset.  We also organize the entities contributing to these deals into formalized legal relationships (i.e. joint ventures) in which we, as Principal and Sponsor, always financially participate with a major ownership stake.  Our investment strategy is based on our core competency of financing, acquiring, owning/managing, and developing/expanding “triple bottom line” hotel Real Estate.

 

As an additional differentiator, we only source and deploy "Conscious Capital."

 

How we work with our families!

 

Our families aggregate pools of capital on a deal by deal basis for which a distinct joint venture LLC is formed.  Within that LLC, most (if not all) of the limited partners are part of the Odoomber Tree Capital clientele family community.  

 

Meanwhile,  the General Partner, i.e. the Sponsor, of each LLC is Odoomber Tree Capital itself.  Acting in its role as Sponsor, Odoomber Tree Capital structures the capital stack by arranging private and/or institutional (bank) debt.  Moreover, if a deal can’t be taken down with equity contributions from the Odoomber Tree Capital families alone, we invite 3rd party equity partners to participate.  These 3rd parties may be other family offices, capital placement specialists, investment firms, etc.   

 

One problem we solve for our community of families is that they don’t have access to trustworthy, robust, streamlined, massively scalable investment modalities; their access to wealth management is limited to a disparate group of financial planners.  Hotels are the primary vehicle by which we scale wealth for our community.  Among other things, hotel real estate investments are scalable and everyday investors are very familiar with the hotel experience.


We identify opportunities to diversify portfolios and invest directly into deals that were once only accessible to investment groups behind closed doors.

Odoomber Tree Capital got started when Tapan Bhargave and friends got together to formulate strategies for managing their own and their families' investments.  Since the beginning, the focus has always been on passive income for us and our families.  The cofounders of Odoomber Tree live by the creed of focusing on passive income in how we run Odoomber, with an emphasis on constantly uncovering efficiencies to strive for "autopilot".  Odoomber is our passive income vehicle to free up our time for personal interests as well as for other professional endeavors.    Thus we model the lifestyle we want for our families by living that lifestyle ourselves with Odoomber as our vehicle to accomplish it.  This passive income lifestyle is our definition of wealth and we strongly believe that we all have the right and duty to be wealthy

 

Now let's talk about money.  Here we believe money is alive potential energy.  It is the potential energy of enablement, actuation, and manifesting.  It’s alive, and all alive entities have a higher purpose, a conscious purpose.  In short, money wants to do good for people, planet and of course to grow itself equanimously.  Money doesn’t want to simply grow without purpose (i.e. the “single bottom line” only).  Money wants to evolve through the Triple Bottom Line!

Non-Real-Estate Venture Capital

Other than hotels, we also have core capabilities in Fintech (Blockchain), in other Technology such as Kubernetes, and in Cleantech.  We have dealflow in these domains. Our investments in these domains are characterized as venture capital, in the sense, we own not the whole company but rather a portion, we look for extremely high returns, and it can be characterized as “high-risk-high-reward” as opposed to our hotel deals which are “medium-risk-robust-reward”.  Also, unlike hotels, the venture capital deals generally don’t produce robust monthly cashflow; rather, you’re waiting for a big “high-reward” payday some time in the future.

TAPAN P. BHARGAVE

Tapan first got involved with Real Estate in 2005 with small residential wholesaling deals under his own company Streaming Gold Real Estate.  In 2006 he became a Partner in the Real Market Experts of Nevada, an investment firm that prepared residential real estate investment deals for its subscribers.  

 

The story arc of Tapan's career has been in Information Technology.  He received his Bachelors in Electrical Engineering from Cornell University, where he won an Ivy League grant.  He also was influenced by friendships made at Cornell's world-famous School of Hotel Administration.  In the past, he has been the founding CEO and CPO of EarthBenign, a Financial Technology startup based in Austin which codes digital monetary currencies for its client-base.

Kent brings years of experience as a business consultant, entrepreneur and strategic manager to the Odoomber Tree Capital team. He conducts his business with the heart of a servant leader.  His focus is on building systems, accountability and motivation that encourages cross-functional teams to meet challenging objectives with confidence, enthusiasm, and discipline.  

 

With Kent's attention to detail and business acumen, Odoomber is pleased to have him overseeing the underwriting efforts.

Keven is our Chief Legal Officer at Odoomber Tree Capital overseeing all our legal affairs. With a background in real estate, business law, estate planning, nonprofits, and financial planning, Keven brings a unique combination of perspective and experience to Odoomber’s impact investing philosophy.

Keven has a keen passion for the Triple Bottom Line and as such serves on the board of P3 Utah.

Keven graduated magna cum laude with a Juris Doctor and a Master of Science in Personal Financial Planning from Texas Tech University. He is a published author on the topic of social entrepreneurship and estate planning and currently serves as managing partner at Stratton Law Group.

ANKUR A. DESAI

Strategic Catalyst & Managing Partner

Allen, Texas (greater Dallas - Ft. Worth metro)

 

The progression of Ankur's experiences has been in Telecom and Software.  He received his Bachelors in Finance from The University of Texas at Austin. Soon after, he quickly built his resume by facilitating two IPOs and multiple Mergers & Acquisitions totaling over $15Billion.  This led him to achieve his MBA at Duke University in Durham, North Carolina.  He then ignored multiple lucrative consulting and banking offers and instead moved to Silicon Valley and networked his way into a Director role at one of the hottest tech startups in history, Twilio.  Ankur built his reputation by expanding Twilio to international markets and forging partnerships with companies like Uber, Airbnb, Facebook and Google.  

 

After six exciting years in San Francisco, he decided to take his talents and growing family back to Texas. Serendipitously, he met Tapan and they both decided to work together and create a different type of hotel investment fund. One that focuses on delivering exclusive investment opportunities, that were previously inaccessible, to families looking to grow their wealth.

BOB HUGHES

VP Asset Management & Managing Partner

Bob serves as our VP Asset Management, overseeing the General Managers (GM) at the various portfolio hotels.  With over 26 years of experience, he’s an accomplished professional in the resort hospitality industry. He has a competitive fire that, combined with his experience-derived differentiating insights in management of all hotel departments (including sales and marketing, revenue management and guest services), enables him to add tremendous value, via the designing and deployment of laser-focused operational strategies, to our portfolio hotels.  

 

Bob’s effectiveness overseeing our portfolio hotel GM’s comes from the fact that he himself has been a hands-on GM over the past couple decades, for example, in Park City at the Hyatt Place and the Park City Peaks hotels.  Prior to that he led sales in Park City at Park City Mountain Resort (PCMR) and at Canyons Ski Resort (later merged with PCMR).


Bob’s enthusiasm with the ski, resort and hospitality industries is further apparent as he served for 12 years on the board of Ski Utah, and also 3 years on the Board of the Park City Chamber and Visitors Bureau.

PETER PEREZ 

Chief Marketing Officer & Managing Partner

Austin, Texas

A master marketer and communicator, Peter is a US Army veteran committed to the triple bottom line.  He has diverse alliances in esports and blockchain development.

 

Peter found his passion connecting people in 2013 as an evangelist and producer for esports events in central Texas connecting brands with influencers and esports competitors. In late 2016, Peter directly provided solutions for esports powerhouse DreamHack AB, the world's largest gaming lifestyle festival owned by Swedish broadcasting company MTG.

 

He was instrumental for double-digit growth in attendance for DreamHack Austin 2017 & 2018. During events, Peter facilitates panels and gives talks on topics covering strategic investments and on the power of gamified models to grow business for blockchain and gaming. For Odoomber's venture capital fund, Peter focuses on investees who are building gaming infrastructure and/or are deploying a gamified model.

 

Peter shares his experiences on his daily podcast, Arcade Brigade, offering market insights and commentary for gamified economies of the future.

The Odoomber Tree Capital family office has two core families guiding our group strategy.  Family A is a friend of Tapan's of over 20 years and has upper midscale, upscale, and luxury hotel properties in his portfolio on the West Coast.  Family B is a friend of Tapan's since childhood, and also owns a similarly-sized impressive portfolio of upscale and luxury hotels throughout Texas.
